01Why the charge exists and why it matters to you
Developers borrow against the land to build; the bank registers a mortgage over the whole parcel — which, until divided, includes the apartment you are paying for. If the developer defaulted with no waiver in place, the bank's security would rank ahead of your interest. The waiver converts you from an unsecured hopeful into a buyer whose unit the lender has agreed to release.
02What a proper waiver says
Your lawyer obtains a letter from the lending bank confirming: the specific unit you are buying, that the bank consents to the sale, and that it undertakes to release its charge over that unit upon payment (in full or proportionally as instalments land, depending on structure).
A vague comfort letter naming no unit and no release mechanics is not a waiver — it is stationery.

03The 2015 trapped-buyers backstop
Legislation from 2015 protects buyers who paid in full under a deposited contract: the Land Registry can transfer title to them even where developer debts and encumbrances remain, extinguishing the lender's charge over that unit. It has rescued thousands of earlier buyers — but it is a remedy after the fact, involving procedure and time. The waiver up front means never needing it.

Chronologically: Land Registry search reveals the mortgage → lawyer requests waiver terms from the bank during contract negotiation → waiver issued → contract signed, stamped, deposited → payments begin. A developer or bank that resists providing waiver mechanics on a mortgaged project is telling you something about how the project is funded — listen, and adjust the payment plan you accept or walk.
